    Policy on Related Party Transaction

    Introduction

    The Board of Directors of the Idea Cellular Limited (‚Äúthe Company‚Ä?, on recommendation of the Audit Committee, has adopted this policy by its resolution dated 31st March, 2015 to regulate transactions of the Company by Related Parties in compliance with various applicable laws, including under the Companies Act, 2013 (the ‚ÄúAct‚Ä? and the Listing Agreement, prescribed for related party transactions.


    Definition

    • Related Party: A Related Party shall have the same meaning as defined under the Act and the Listing Agreement.
    • Related Party Transaction (‚ÄúRPT‚Ä?: A Related Party Transaction is a transfer of resources, services or obligations between a company and a Related Party, regardless of whether a price is charged. A transaction with a related party shall be construed to include single transaction or a group of transactions in a contract.
    • Materiality: The materiality of any RPT will be ascertained as per the thresholds prescribed under the Listing Agreement.
    • Arm‚Äôs Length Basis: RPT will be treated to be on ‚ÄėArm‚Äôs Length Basis‚Ä?if the key terms, taken as a whole, are comparable with those of similar transactions if they would have been undertaken with non-related parties.
    • Ordinary Course of Business: RPT will be considered in ordinary course if they are entered into in the normal course of the business pursuant to the objects of the Company as per the charter documents of the Company.

    Policy

    • The RPTs should be in conformity with the prevailing rules and regulations prescribed by law.
    • All RPTs shall be placed before the Audit Committee for prior approval of the Audit Committee, as required under the provisions of the Act and the Listing Agreement.
    • The Audit Committee may grant omnibus approval for RPTs which are repetitive in nature, provided that such approval shall remain valid for a period not exceeding one year, during which period the commercial terms of approved RPTs may change, provided that arm‚Äôs length criterion shall be ensured at the time of each such change. Further, where the need for RPTs cannot be foreseen and requisite details are not available, the Audit Committee may grant omnibus approval for such transactions provided that the value of each such transaction shall not exceed Rs. 1 crore.
    • Any RPT which is not in the Ordinary Course of Business of the Company or not at Arm‚Äôs Length Basis shall be effected only with prior approval of the Board of Directors of the Company, on recommendation of Audit Committee.
    • All RPT specified in the Act which are not Ordinary Course of Business of the Company or not at Arm‚Äôs Length Basis; and exceed the thresholds laid down in Companies (Meeting of Board and its Power) Rules, 2014 shall be placed before the shareholders for its approval. Notwithstanding, the RPTs which cross the Materiality thresholds as defined herein shall be entered by the Company only with prior approval of shareholders of the Company, as per applicable provisions of the Listing Agreement, as may be amended from time to time.
    • Subject to the applicable laws, the Audit Committee shall have the power to ratify, revise or terminate the RPTs, which are not in accordance with this Policy.
    • Exclusions: The following shall not be deemed as a RPT :
      • Any transaction that involves the providing of compensation to a director by way of salary, fee, commission, perquisites, rent free accommodation or otherwise, in connection with his or her duties to the Company;
      • Contributions made by the Company to a charitable organization, trust, foundation or university at which a related party is a trustee, director or employee other than key managerial personnel (or comparable position), provided that each such contribution, made in a particular financial year, does not exceed two per-cent (2%) of the Company‚Äôs average net profit for the preceding three financial years;
      • Any transaction in which the related party‚Äôs interest arises solely from ownership of securities issued by the Company and all holders of such securities receive the same benefits pro rata as the related party.

    Administrative Measures

    2020欧洲杯体育网上投注The Company‚Äôs management shall institute appropriate administrative measures to ensure that all RPTs entered into by the Company are in compliance with applicable laws and this Policy. All persons dealing with the related party(ies) shall, irrespective of their level, be responsible for compliance with this Policy. The detailed processes relating to implementation of this Policy, as may be approved by the Audit Committee from time to time, shall be followed by all concerned. The Company Secretary shall be responsible to maintain/update the list of related parties (as required by applicable laws) and provide the same to all concerned. It is the duty of all employees of the Company to ensure that they do not deal with related parties under any kind of influence or coercion. The cases involving any unwarranted pressure should be promptly reported as per mechanism provided under the Whistle Blower Policy of the Company.


    Interpretation

    Corporate Social Responsibility Policy

    Introduction:

    In accordance with the notification issued by the Ministry of Corporate Affairs‚Ä?dated 27th February 2014 under Section 135 of the Companies Act 2013, the Company‚Äôs Corporate Social Responsibility (CSR) is enunciated. Our Corporate Social Responsibility policy also conforms to the National voluntary Guidelines on Social, Environment and Economic Responsibilities of Business released by the Ministry of Corporate Affairs, Government of India in collaboration with FICCI Aditya Birla CSR Centre for Excellence (July 2011). The Company CSR policy was outlined in 2010 in the Companies‚Ä?Annual Reports and on its website.

    2.0 OBJECTIVE

    Disclosure to the Stock Exchanges

    Events/ information specified in Annexure - I of this Policy are deemed to be material events and the Company shall make disclosure of such events or information to the stock exchange(s), without application of guidelines for materiality as mentioned in clause 4 of this Policy, as soon as reasonably possible but not later than twenty four (24) hours from the occurrence of such event or information.


    Provided further that in case the disclosure is made after twenty four (24) hours of the occurrence of such event/ information, the Company shall, along with such disclosure(s) provide an explanation for the delay.

    The Company shall make disclosure of events/ information as specified in Annexure - II of this Policy, if considered material after application of guidelines for determining materiality as given under Clause 4 of this Policy.


    Apart from the events/information given under Annexure - I and Annexure - II of this Policy, any other material information/event viz. major development that is likely to affect business, e.g. emergence of new technologies, expiry of patents, any change of accounting policy that may have a significant impact on the accounts, etc. and brief details thereof and any other information which is exclusively known to the Company which may be necessary to enable the holders of securities of the Company to appraise its position and to avoid the establishment of a false market in such securities, shall also be disclosed to the stock exchange(s).


    The Company shall disclose to the stock exchange(s) material updates on the events/ information disclosed under this Policy till such time the event is resolved/ closed, with relevant explanations.

    1.0 PURPOSE

    3.6 At-least one Independent Director of the Company shall be a director on the board of directors of unlisted Material Subsidiary, incorporated in India.

    5.0 INTERPRETATION

    1.0 INTRODUCTION
    1.1 As per Regulation 43A of the SEBI (Listing Obligations and Disclosure Requirements)Regulations, 2015, as amended, Vodafone Idea Limited (the ‚ÄúCompany‚Ä? is required to formulate and disclose a dividend distribution policy. Accordingly, the Board of Directors of the Company (the ‚ÄúBoard‚Ä? has approved this Dividend Distribution Policy (the ‚ÄúPolicy‚Ä?.
    1.2 The objective of this Policy is to provide clarity to stakeholders on the circumstances in which shareholders of the Company may or may not expect dividend, and specify the factors that will be taken into account while declaring dividend. The Board shall recommend dividend in compliance with this Policy, the provisions of the Companies Act, 2013 and the rules thereunder and other applicable law.
    2.0 TARGET DIVIDEND PAYOUT
    2.1 Subject to applicable law, the Board shall declare or recommend dividend as follows:
    (a) if the Leverage Ratio falls below 3:1, dividend of such amount as may be determined by the Board; and
    (b) if the Leverage Ratio falls below 2.5:1, an amount equal to one hundred per cent. (100%) of:
    (i) the excess cash of the Company and its Subsidiaries as at the end of the last completed financial year as determined by the Board by majority resolution; or
    (ii) if the Board has not passed a resolution to distribute the excess cash of the Company and its Subsidiaries in accordance with (i) above, then the Free Cash Flow of the Company for such financial year,
    in each case, plus any additional amounts (such additional amounts to be determined by the Board) in respect of any previous financial year(s) that would, but for any of the restrictions referred to in this Policy, have been so distributed but which have not been so distributed and can then be distributed.

    (b) including the mark-to-market gains or losses, whether realised or unrealised, on foreign exchange rate and interest rate derivative financial instruments; and
    (c) including any amounts in the nature of interest payable in respect of any shares other than ordinary equity share capital;
    8.3 ‚ÄúFinancial Indebtedness‚Ä?means any borrowings or indebtedness appearing in the consolidated balance sheet for or in respect of:
    (a) moneys borrowed;
    (b) Deferred Payment Obligation for Spectrum;
    (c) accrued interest payable;
    (d) any interest bearing amount raised by acceptance under any acceptance credit, bill acceptance or bill endorsement facility or dematerialised equivalent;
    (e) any amount raised pursuant to any note purchase facility or the issue of bonds, notes,debentures, loan stock or any similar instrument;
    (f) the amount of any liability in respect of any finance lease;
    (g) receivables sold or discounted (other than any receivables to the extent they are sold on a non-recourse basis);

    8.5 ‚ÄúForex Losses or Gains‚Ä?means the net foreign exchange gains or losses with respect to Financial Indebtedness denominated in a currency other than INR;
    8.6 "Free Cash Flow" means, in respect of any accounting period, EBITDA less net interest and other net financial expenses, less tax payments, less net change in working capital, less tangible capital expenditure, less intangible capital expenditure, plus net proceeds from asset sales but, for the avoidance of doubt, before net proceeds from borrowings, in all cases as determined in accordance with the accounting policies of the Company and by reference to the Financial Statements;
    8.7 ‚ÄúIntegration Costs‚Ä?means costs incurred on or after 31 August 2018 in connection with the combination of the Company and Vodafone India Limited, which would not have been incurred otherwise;
    8.8 ‚ÄúLeverage Ratio‚Ä?means, at any time, the ratio of the Net Financial Debt to LTM EBITDA, each of which shall have been determined with reference to the same time;
    8.9 ‚ÄúLTM EBITDA‚Ä?means, at any time, the EBITDA (by reference to the Financial Statements) for the 12 (twelve) months up to the end of the most recent calendar quarter ended 31 March,30 June, 30 September or 31 December.
